1. Acceptance of These Terms

These Terms of Use ("Terms") govern access to and use of aptuspar.com and any other AptusPAR website that links to these Terms (collectively, the "Website"). The Website is operated by Aptus Par, LLC, doing business as AptusPAR ("AptusPAR," "we," "us," or "our"). By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.

2. Website Purpose; No Client Relationship

The Website provides general information about AptusPAR, its capabilities, resources, events, partners, and services. Website content is informational only. Visiting the Website, downloading a resource, contacting AptusPAR, or discussing a potential engagement does not create a client, fiduciary, advisory, employment, partnership, or other professional relationship. A services relationship begins only when AptusPAR and the applicable client execute a written agreement.

Do not submit confidential, regulated, proprietary, export-controlled, or sensitive personal information through a general Website form. If AptusPAR has entered into a nondisclosure agreement or services agreement with you, that agreement controls to the extent it conflicts with these Terms.

3. Eligibility and Authority

The Website is intended for adults and business professionals. You must be at least 18 years old or the age of legal majority where you live. If you use the Website on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.

4. Limited Permission to Use the Website

Subject to these Terms, AptusPAR grants you a limited, revocable, non-exclusive, non-transferable permission to access and use the Website for lawful internal business or personal informational purposes. This permission does not transfer ownership of any Website content or intellectual property.

5. Prohibited Conduct

You may not:

  • use the Website in violation of law, regulation, sanctions, export controls, or the rights of another person;
  • attempt to gain unauthorized access to the Website, accounts, systems, networks, source code, or data;
  • probe, scan, test, circumvent, or interfere with security or authentication measures without AptusPAR's prior written authorization;
  • introduce malware, harmful code, automated attacks, denial-of-service activity, or other disruptive technology;
  • scrape, crawl, harvest, index, or extract Website content or data at scale, except through ordinary search-engine indexing or with written permission;
  • use automated systems to submit forms, send spam, impersonate another person, or provide false or misleading information;
  • copy, modify, publish, sell, sublicense, reverse engineer, or create derivative works from the Website except as expressly permitted by law or in writing; or
  • use AptusPAR names, logos, marks, content, or Website access to suggest endorsement, compete unfairly, or train a commercial artificial-intelligence model without prior written permission.

6. Intellectual Property

The Website and its text, graphics, design, software, photographs, videos, downloads, reports, trademarks, service marks, logos, and other content are owned by AptusPAR or its licensors and are protected by intellectual-property and other laws. Except for the limited permission in Section 4, no right or license is granted by implication, estoppel, or otherwise.

You may print or download a reasonable number of copies of publicly available resources for your internal informational use, provided that you do not remove notices, alter the content, or redistribute it commercially. Linking to a public AptusPAR page is permitted if the link is lawful, accurate, and does not imply endorsement.

7. Feedback and Submissions

If you voluntarily provide feedback, ideas, suggestions, or other non-confidential material about the Website or AptusPAR services, you grant AptusPAR a worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, adapt, and incorporate that material for any lawful business purpose without compensation or attribution. This section does not apply to information protected by a written confidentiality agreement.

You represent that you have the right to provide any information or material you submit and that doing so does not violate another person's rights or any obligation.

8. Third-Party Websites, Tools, and Content

The Website may contain links to third-party websites, tools, platforms, partner resources, or social-media services. AptusPAR does not control and is not responsible for third-party content, availability, security, terms, or privacy practices. A link does not necessarily mean that AptusPAR endorses the third party. Your use of a third-party service is governed by that party's terms.

9. Privacy and Cookies

AptusPAR's Privacy Policy and Cookie Policy explain how we handle personal information and use cookies. By using the Website, you acknowledge those notices. Where consent is required for optional technologies, your cookie choices govern their use.

10. Service Descriptions and Separate Agreements

Descriptions of capabilities, expected outcomes, timelines, technologies, case studies, testimonials, or other service information are illustrative and may change. They are not an offer, warranty, service-level commitment, or guarantee of results. Any AptusPAR services, deliverables, fees, responsibilities, warranties, and liability terms are governed exclusively by the applicable written proposal, statement of work, master services agreement, or other signed contract.

11. No Professional Advice

Website content is general information and is not legal, regulatory, financial, investment, accounting, employment, privacy, cybersecurity, or other professional advice. You are responsible for obtaining advice appropriate to your circumstances and for independently evaluating decisions, controls, technologies, and legal obligations.

12. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." APTUSPAR DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, AVAILABILITY, AND FREEDOM FROM HARMFUL CODE. APTUSPAR DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, CURRENT, OR SUITABLE FOR YOUR PURPOSES.

Some jurisdictions do not allow certain warranty exclusions, so part of this section may not apply to you.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, APTUSPAR AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY; OR COST OF SUBSTITUTE SERVICES ARISING FROM OR RELATED TO THE WEBSITE, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF APTUSPAR AND THE OTHER RELEASED PARTIES FOR ALL CLAIMS ARISING FROM OR RELATED TO THE WEBSITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). These limits do not apply to liability that cannot lawfully be excluded or limited. Separate written client agreements contain their own liability terms and are not altered by this section.

14. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless AptusPAR and its affiliates, officers, directors, employees, contractors, licensors, and service providers from claims, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising from your unlawful use of the Website, your violation of these Terms, or material you submit. AptusPAR may control the defense of a covered matter, and you agree to cooperate.

15. Suspension or Termination

AptusPAR may restrict, suspend, or terminate access to all or part of the Website at any time if we reasonably believe access creates legal, security, operational, or reputational risk, or if you violate these Terms. Sections that by their nature should survive termination will survive, including intellectual-property, disclaimer, liability, indemnification, and governing-law provisions.

16. Changes to the Website or These Terms

AptusPAR may modify the Website and these Terms from time to time. Updated Terms take effect when posted unless a later date is stated. The "Last Updated" date identifies the current version. Continued use of the Website after an update means you accept the revised Terms to the extent permitted by law.

17. Governing Law and Venue

These Terms and any dispute arising from or related to the Website are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Subject to any non-waivable right under applicable law, the state and federal courts located in New Castle County, Delaware will have exclusive jurisdiction, and you consent to personal jurisdiction and venue in those courts.

18. Miscellaneous

These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement concerning use of the Website. They do not replace a separate signed agreement for AptusPAR services. If a provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue. AptusPAR's failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; AptusPAR may assign them in connection with a corporate transaction or by operation of law. Section headings are for convenience only.
